Couple refuses business partner’s demand to give his wife equal shares and ownership after she originally mocked the business, offering a buyout instead: ‘We could have forced him out’

  • AITAH for offering a buyout to my business partner when he wanted to readjust the shares to bring in his wife?

Three people sitting next to a desk at an office reviewing what looks like a contract
  • I (24M) own a Developers firm in equal partnership with my wife (24F) and my long time best friend (24M) which we started during our undergraduate years and is now a huge success. All
  • three of us invested for the startup, but me and my girlfriend (now my wife) had to put in a bit more because my bff was in a bit of a money crunch at that time.
  • When we started, we even asked his girlfriend (now his wife 24 F), who declined claiming she didn't do stupid and 'broke sh ' like this and that she would make 100
  • time more than what we could ever make. We moved ahead, the three of us without her anyway even after few arguments between her and my bff.
  • Now his wife has been trying for years to get a job but has been unsuccessful so far and that has caused quite a bit of a problem for her. We hold equal shares of
  • a group of coworkers discussing paperwork around a table in an office
  • the firm 33.33% as I mentioned before which means effectively, we have 66.66% since me and my wife live together. But then again
  • it fair because not only did all three of us invested separately, but me and my wife had to invest more than my bff.
  • Now coming to the problem, my bff's wife has been constantly pressuring him and manipulating him to write her in as one of the
  • partners and shareholders and that too in equal partnership. Both me and my wife were infuriated at the proposal he
  • dropped in our meeting and outright declined it. Now he's out accusing me of being unfair citing the fact that we as a couple hold
  • separate shares of the firm but was not allowing him to, that we were bu ying him and his wife just because we were majority by default. I had made up my mind
  • in blind rage to overthrow him but my wife calmed me down into offering him a buyout. We could have forced him out
  • exploiting our bylaws but my wife, being the sympathetic person she is doesn't want to kick him off.
  • Any advice regarding this situation is openly welcome as well.
  • Edit: A lot of you have been confused about our partnership legality so let me state that here.
  • If either of the three partners negates to a fourth buy in, the buy in goes for a referendum to the board as long as at least one
  • refers it. Though the board can't assign equal partnership, if they agree to the terms of the buy-in, she can effectively purchase
  • shares and negotiate deals on our behalf. We don't wanna let that happen at any cost. Sure she
  • doesn't get any say in any major dealings but knowing her she can sabotage things I'm not willing to risk.
